All that being said, it isn't as cut and dry as it seems. All of these sites have terms and conditions. You know those things that most people scroll through without reading, just so they can hit the "I accept" button? Yeah. Those. Those niggly things are actually pretty dang important when it comes to getting clarity on whether or not you will actually end up owning that design you just created or had someone throw together for you...yeah. When you have put every ounce of yourself into something - a new business, a new project or idea - you want to make sure that it has legs to stand on and that it'll be a success. Watching all of that blood, sweat and tears crash down around you would be a devastating thing! And we refuse to stand by and let it happen! So. Here are a few things to think about while you're sweating and tearing and…blood letting…? That's a weird saying. But, we digress. Here are 3 things that put your business at risk. 1️⃣ Not having a privacy policy. Get on this. It's a legal requirement if you're having clients or customers sharing any information with you at all, even just an email address for your newsletter. Cover your arse. 2️⃣ Not having legal contracts. A pinky promise or a hand shake just doesn't cut it these days, folks. You have to get everything down on paper. Due dates. Pay rates. Number of revisions. Scope. Rights. Then make sure both parties sign on the dotted lines. 3️⃣ Not trade marking your brilliant brand and business! You may be thinking, hey I'll get there once I start making money. But that's a big ol' mistake, friends. By that point, someone else could have swept your brilliant brand or business name right out from under you. Because you know, people can be jerks sometimes. So when you know you're in it to win it, get on the trade mark. These 3 steps can get you started on the right foot early on, so you can stay focused on your brilliant ideas and building that empire! So here are Foundd's 6 Tips for Getting Paid as A Freelancer. Bring on the dough... Invoice right away. Don't be shy. You run a business, friend!⠀⠀⠀⠀⠀⠀⠀⠀ Ask for prompt payment. Don't have those 30 day terms that keep you sweating as rent day sneaks closer. Keep the terms short and sweet, we're talking 7 to 14 days, tops.⠀⠀⠀⠀⠀⠀⠀⠀ Make on time payments worthwhile. Give an early bird discount of say 5%; discounts are strong motivators.⠀⠀⠀⠀⠀⠀⠀⠀ Make it easy for them to pay you. Offer up credit card or PayPal links to your Xero or Wave accounts so it's all paid with the click of a button. Click! Cha-ching!
⠀⠀⠀⠀⠀⠀⠀⠀⠀ Make sure you get at least 50% up front before work starts so everyone knows this business is being taken seriously. And, well, so you don't get ripped off. ⠀⠀⠀⠀⠀⠀⠀⠀⠀ Make sure you get paid before releasing the work. The last thing you want is a work-and-run! So not cool…⠀⠀⠀⠀ Communicating these terms during your discovery call, then also including them in your quote/proposal, Services Agreement, and invoice will ensure the client has fully understood and read the terms at least once (or hopefully, all 4 times). How many times have you received one of those emails trying to sell you something from that gym you tried out once, or the e-card company you got a birthday card from 5 years ago? Maybe it's an email about the latest craze in juicing. Whatever the detail, you know the ones we're talking about. The ones you mark as spam or, if you aren't too lazy the ones you unsubscribe from (but somehow they keep coming!!!). Anyway. Now you run your own company. And you've totally signed up for a Mailchimp account so you can start being THAT company. *Insert dramatic nnoooooo and drop to knees shaking fists in the air here* The truth of the matter is, commercial electronic advertising is an important way to remind your followers and fans that you exist and that you have big things coming down the pipe. What is commercial electronic advertising, you ask? It's those emails and text messages you send to promote your business. But before you start getting email ad happy, there are a few things you need to know about. 1️⃣ Spam Act 2003 (Cth) is an Act passed by the Australian Parliament that regulates commercial email and other kinds of commercial electronic messages like text messages. Basically, this prohibits you from sending commercial electronic messages.⠀⠀⠀⠀⠀⠀⠀⠀⠀ 2️⃣ The Spam Act has 3 key rules to stay legal. You need permission and/or consent to send your message, you can't just blast someone who didn't give you permission. You must include your contact information and you have to give the option to unsubscribe to the recipient on the message sent. 3️⃣ Exemptions exist if you're a registered political party, governing body or a charity. In some cases too if you're a place of education. 4️⃣ If you get caught breaking these rules, you could owe a pretty penny. So pay attention. Get permission. There's this fun old thing called the Australian Consumer Law (ACL) that you need to get down with before you can properly launch. Whether you run your business out of your bedroom or a major Westfield shopping centre, the same rules apply. Whatever you sell has to fulfill certain criteria. Hello Everyone! Welcome to Episode 5 of Legals and Biz with Riz! Today, I'll be talking about Choosing a Business Structure in Australia. You know you want to start a business. You know what you want to sell and how you want to present your brand. You're ready to make this big ol' dream real life! Now you just have to make it legal so you can start the dang thing! So how the heck do you do that? What kind of business structure are you meant to choose? You may be keen to start as a sole trader so you can fully run the show. But that also means capital may be harder to raise and any of the yuck falls solely on your shoulders. On the other hand, you could saddle up with a partner and share in the good and the bad. How about registering as a company? Or a trust? With 4 serious options to consider, you need to grab that cup of joe or glass of vino (only 1 glass, these are big decisions to make!) and get listening. I'll take you through some key facts for successfully choosing a business structure in Australia and give you the dirt on how to build your new brand empire not just brilliantly, but legally. How good is that? Each option has its own pros and cons and you'll need to decide based on your own individual circumstances which option is best for you. Got it? Good. Ao if you need a little help making the best choice for your business, listen up. Quick facts on Sole Traders To operate as a sole trader you'll need to register your business name and apply for an Australian Business Number (ABN). You may also need to register for Goods and Services Tax (GST) if applicable. PROS You have full control of your assets. You have full control over business decisions. You can employ people (but there are compulsory obligations you must comply with such as workers compensation insurance). It's easy to change your business structure down the line. CONS Full personal liability. You're liable to pay tax on all income. You may have a limited capacity to raise capital. Quick facts Companies must be registered with the Australian Securities and Investments Commission (ASIC) which will issue you with an ACN. Companies must apply for a tax file number (TFN) and use it when lodging annual tax returns with the Australian Taxation Office (ATO). Companies must be registered for GST if annual turnover is $75,000 or more. The rules you must comply with when managing a Company are set out in the Corporations Act 2001. Companies may require legal documents like a Shareholders Agreement. PROS Limited personal liability. Tax advantages. Increased legitimacy. CONS Expensive to set up. Stricter regulations. Additional administration and tax reporting Quick facts There are two types of partnerships, general and limited. Partnership tax returns must be lodged with the ATO. Partners are responsible for their own superannuation arrangements. Partners in business have shared control in management. PROS Easy to set up. Low administration costs. Shared workload. Pooled assets. CONS Joint liability. Liable for debts accrued by partners. Can get messy if clear guidelines aren't in place. Quick facts Companies can be nominated as trustees. Setting up a trust requires a formal trust deed that outlines how the trust operates, this deed will need to be written up by a lawyer (or team of lawyers depending on the scope). Trustees have set administrative tasks they must complete each year. PROS More privacy afforded compared to a company structure. Trustees can distribute income at their own discretion depending on trust structure. Depending on the set up, liability can be limited. CONS Expensive and legally complex to set up and maintain. Losses can't be distributed, only profits. Borrowing money can be trickier due to different loan structures. Top Tip: To learn more about business structures, I've included a link in my show notes to a great video by the ATO. What's next? If you've decided which structure is right for you, you'll need to think about registering your business and your business name. Regardless of whether you choose to be a sole trader, company, partnership or trust, you'll need: A registered business name An Australian Business Number (ABN) A Tax File Number (TFN) You may also need to register for GST. We also highly recommend you run a check of IP Australia to make sure your name is not already taken before going to the expense of registering a domain or business name. Structuring your business properly is a major key 🔑 to long-term success. Spend time giving your company structure serious consideration. The right decision will save you time and money down the track. Your agreement will specify who will own what so you'll know what belongs to you in no uncertain terms. Any content that has been created will be set out here, so you won't be left in the lurch. ⠀⠀⠀⠀⠀⠀⠀⠀⠀ 4️⃣ Limited Revisions: You can make it clear how many revisions are allowed and included in your rate as well as your project scope as a whole. Nothing is worse than getting to revision number 23 - you've now spent way too long on this one project and there's no end in sight. We've all been there. ⠀⠀⠀⠀⠀⠀⠀⠀⠀ 5️⃣ Efficient Feedback: You've sent the initial proof to your client 3 weeks ago and they're still "thinking on it". Your agreement can set out approval period terms and what happens if your client doesn't adhere to these terms. Timelines are important to you and your client - help them stay on track by being specific in your agreement. ⠀⠀⠀⠀⠀⠀⠀⠀⠀ If you want to build yourself a solid foundation then start with a kick arse service agreement.
