Cyberattacks are not going anywhere soon. The risk of a data breach has been steadily increasing for businesses over the past decade. In fact, in Q3 of 2021, there were more data breaches caused by cyber attacks than there were total breaches in 2020. These dynamic and new threats are coming up constantly. According to the 2021 Business Aftermath Findings: * 58% of small businesses have been impacted by at least one data breach or one security breach. * 45% of small businesses spend between $250,000 and $500,000 to cover the cost of a breach. * 15% had to reduce their headcount to cut expenses following the breach. Moreover, around 85% of data breaches are caused by human error. And while cyber breaches significantly affect large enterprises, small businesses aren’t immune either. In this episode, I'm discussing some recent data breaches and some important lessons and takeaways for U.S. businesses. In this episode, you will hear: The Accellion breach Practicing ongoing evaluations of third-party providers Using contracts to protect your company Embedding requirements and routine audits in your contracts The Colonial Pipeline attack The importance of network segregation and segmentation The Facebook and LinkedIn data scraping incidents Reducing the risk of a breach resulting from human error The benefits of a data minimization policy Subscribe and Review Have you subscribed to our podcast? Founders have a tendency to avoid seeking legal advice in the early stages. That is completely understandable considering the limited resources they have. However, this could lead to compliance issues down the road. From the outset, the cost of legal advice can seem really intimidating, but it is always more expensive to fix what has not been done right. Fixing legal mistakes can be significantly more expensive than being compliant. In today’s episode, we discuss five common mistakes early-stage startups make and some ways to avoid those to set your company up for compliance success. If you have any concerns about compliance, it is best to reach out to an attorney who can help you navigate this because there can be catastrophic consequences for non-compliance. Building a relationship with an attorney who's experienced in these issues can help you avoid the mistakes that most startups make because there are consequences, and they come with a hefty price. Ultimately, a good lawyer can help you strategize, mitigate risks, and help you make the most informed business decisions. In this episode, you will hear: Relying on trust between founders instead of legal documents Having a clear tiebreaker when making decisions Failing to choose the right corporate structure Not respecting trade secrets and intellectual property Not paying your employees properly What happens when privacy is not built into your startup from the beginning The role and value attorneys provide when it comes to startup compliance Subscribe and Review Have you subscribed to our podcast? Many startups see venture capital financing as a sexy way to raise funds and it has become more available in recent years. In fact, last year was a record year for VC investment. VC or venture capital is a type of financing that relies on private investors who invest funds into a startup in exchange for equity. This is attractive to some startups because it is available at the company's early stages before the company is profitable. While VC financing comes with a host of advantages, it’s also not without its drawbacks. In this episode, we cover some common legal issues that founders run into when it comes to VC funding, as well as some tips and tricks when seeking VC investment. The laws surrounding employee and independent contractor (IC) classification and compliance in California are complex. It’s an area fraught with risks so it's really important that you understand the potential risks that come with bringing in additional workers before you take that leap. In this episode, learn some things you need to know when it comes to classifying and hiring independent contractors in California. If you're unsure, it is best to err on the side of treating a worker as an employee, then from there, you can see if they fit into the independent contractor classification based on the tests we will be discussing today. However, the risk can be very high and it’s complicated to figure out proper classifications. Therefore, if you really want to make sure to stay compliant, it’s best to be working with an employment attorney even before you hire your first employees and contractors to just mitigate that risk of hiring anyone. And don't just think this only applies to early-stage companies because a lot of more mature companies still end up misclassifying employees as independent contractors. In this episode, you will hear: Tests for classification: The ABC test and the Borello test Some considerations in determining the correct classification Job descriptions for independent contractors Tips for creating independent contractor agreements Emerging trends in ICs Relevant clauses to keep in mind Subscribe and Review Have you subscribed to our podcast? In this episode, CGL partner Jenny Gumer joins us to discuss ways to balance urgent work with important life events - so you get the best of both worlds. Since life is always changing and the things around us are always evolving, balance is a work in progress. What is balanced for us at one point may not be balanced at a different point, and so you have to find what works for you at any given point in your life. A large element of this is being mindful of your relationship with work. This is key if you don’t want to end up compromising things in your personal life. At CGL, we take pride in creating a workspace that allows our employees the autonomy to do that. As business owners, we want workers to not only get the work done, but also to stay motivated, engaged, and creative. Unfortunately, some companies and workers still believe that working long hours is the only way to be profitable and productive. The 4-day workweek trials taking place around the world are challenging that misconception, however. While also reducing the risk of burnout and employee attrition. While it comes with benefits, implementing a 4-day workweek does come with challenges and compliance hurdles. For instance, there are wage and hour laws you need to comply with. This path also requires some cultural change, an immense amount of planning, and most importantly, the buy-in from top management. In this episode, we discuss the data that supports the benefits of a 4-day workweek as well as what you need to consider should you decide to implement it. In this episode, CGL partner Jenny Gumer joins us to discuss some regulations around CBD products. Currently, the regulatory landscape for CBD products is a total mess and the only road out of all this confusion is if the FDA changes its stance on CBD and introduces federal regulations. Once (and if) that happens, states will then align their regulations with the federal regulations, resulting in increased uniformity and certainty. Until then, it’s going to continue to be tough to navigate the CBD regulatory landscape, and impossible to comply. And so, the trick is to balance the risk of enforcement against the costs of compliance, and for businesses to make decisions based on their individual risk profiles and strategic goals. Ultimately, any company selling CBD products should seek advice from an experienced attorney in the state the products are being manufactured, as well as any state where they're selling a significant number of products. This will help the company cover its bases with local manufacturing regulations as well as align labeling with state regulations where most products are being sold. In this episode, you will hear: Federal laws around CBD products Why you need to avoid making any health claims about your product Why the FDA doesn't allow CBD in food and dietary supplements. CGL senior corporate paralegal Sean Agranov joins us today to talk about why you shouldn’t lose your EDGAR codes. Intellectual property (IP) provides a competitive advantage for tech companies, whether it’s their main source of generating profits or they’re establishing the business's value. However, many of these companies mistakenly believe that patents are the only form of IP and IP protection, but it’s not. They don't realize they also own other potentially valuable IP. Therefore, early IP protection is critical for startups, especially before they publicly launch their products and services. Here at CGL, we are all about promoting happiness and balance for our team. Even before the pandemic, we were having conversations about the relationship we as a society have with work. These conversations are now at the forefront for many other employees in the country as well. Because of this greater emphasis on balance in the workplace, the issue of burnout and a lack of work-life balance has been coming up a lot. So today we want to share our thoughts on balancing happiness and success with the realities of legal practice. We want to provide some insight into how we here at CGL think we’re making a difference, while also identifying areas where we still have work to do. We hope that by bringing up these issues and having an honest conversation about them, the topic will stay on your mind. We want to see more options for attorneys and all white-collar professionals who crave balance and happiness. This is an attainable goal that just comes down to changing the narrative around work. Tune in to hear ideas that will give you some food for thought on this topic. In this episode, you will hear: Why burnout is so prevalent for attorneys. The dangers of attorney burnout. The lack of work-life balance in the legal system. How to create a healthy work-life balance. Our three principles here at CGL for promoting a happy and successful legal team. Many of us look at money and see only money. It’s simply a number of bills in our hands or a virtual number on a screen. However, we have the ability to give our money meaning. If we were to view our money through the lens of what it can do for us, everything would change. We would start to understand how it can give us the life of our dreams, provide us with the legacy we desire, and help us reach our greatest goals. Today I am talking with Marielle Schurig about this new way of viewing money. Marielle is a wealth advisor at UBS Financial Services in New York City. In her role, she works with many entrepreneurs who are going through a transition by helping them adopt a new perspective on money. She helps them develop an empowering relationship with money and to start to see all it can do for them and the people they care about. Tune in to this episode to hear more of Marielle’s amazing insights into changing the narrative around wealth management. In this episode, you will hear: Why we should view money differently. How money can fit into the grander purposes of our lives. What it’s been like for Marielle to work in the financial industry with few other women. Why she is so passionate about working with women. The “money story” many women tell themselves. How to change your “money story.” Why you should start managing your wealth now while you’re making less. Why many women are better investors than men. How making more money can allow you to help more people. Subscribe and Review Have you subscribed to our podcast? We’d love for you to subscribe if you haven’t yet.
