Description

CGL senior corporate paralegal Sean Agranov joins us today to talk about why you shouldn’t lose your EDGAR codes. The EDGAR system stands for Electronic Data Gathering and Analysis and Retrieval system, which is used to submit most filings to the SEC to provide transparency and information to investors, analysts, and regulators. Access to the EDGAR code is strictly controlled, yet it’s also the most important code that you should not lose.

Working as a paralegal for over 20 years now, Sean has spent many years developing his expertise in corporate transactions as well as corporate governance and general corporate and securities matters. Sean has a wealth of knowledge having worked with the SEC public reference room when the SEC piloted the EDGAR program.

In this episode, we leverage Sean's experience as a corporate paralegal to discuss the importance of corporate governance hygiene to make things more efficient in the long run and save some legal costs. And even if you're not a public company and you don't have an EDGAR code, any information discussed here is still going to be helpful and relevant to you.

In this episode, you will hear:

  • Smaller private companies filing a Form D
  • The five sets of numbers, letters, and characters issued to access staggered filing:
    • Central Index Key (CIK)
    • CIK Confirmation Code (CCC)
    • The EDGAR Password
    • PMAC
    • Passphrase
  • Why Passphrase is the most important
  • How to regenerate a new Passphrase
  • Practical tips for retaining your Edgar code or any kind of important corporate compliance information
